The subscriber should therefore ensure that at all times they are in possession of data backups as appropriate, and it is deemed that it is their responsibility.
iModel.com is owned and operated as a Sole Proprietorship by Mark A. Harper.
iModel.com does not allow any of the following content to be stored on its servers:
Illegal Material:
This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any Federal, State or Local regulation. iModel.com reserves the right to refuse service and /or access to its servers to anyone for whatever reasons it chooses should it reasonably believe that these terms are not complied with or that it would not be in either the interests of iModel.com, its subscribers or third party suppliers.
Payment:
FREE WEBSITES may be upgraded to "Subscription Services" which include a personalized domain name, email, additional images and services. Subscriptions fees are collected on a month to month basis. Failure to to insure timely payments will result in a terminal of services at the sole discretion of iModel.com.
Payment:
Establishment of this service is dependent upon receipt by iModel.com of payment of stated charges. Subsequent payments are due on the anniversary date of the month for that month's service.
Failure to Pay:
iModel may temporarily deny service or terminate this Agreement upon the failure of Subscriber to pay charges when due. Such termination or denial will not relieve Subscriber of responsibility for the payment of all accrued charges, plus reasonable interest and any collection fees.
Cancellation:
A subscriber may cancel at anytime. Cancellations must be made seven (7) days prior next subscription payment. Cancellation made six (6) prior or during a subscription period will not receive any refund. Displaying of Subscriber's website after receipt of request for cancellation is a the sole discretion of iModel.com.
Refund and Disputes:
All payments to iModel.com are non-refundable. The ONLY exception to the non-refundable policy is a subscription charge that has been made after a seven (7) day request for cancellation has been made. All overcharges or billing disputes must be reported within 60 days of the time the dispute occurred.

Limitation of Liability:
iModel.com is not responsible for any failures, delays, or interruptions in the delivery of any content or services contained on the iModel.com server; or losses or damages arising from the use of the content or services provided by iModel.com . For greater certainty and without limitation to the generality of the foregoing:
iModel.com liability to subscriber for actual damages for any cause whatsoever, regardless of the form of action will be limited to a maximum of the fees paid in a single month by the subscriber to iModel.com.
In no event will iModel.com be liable to subscriber for any indirect, incidental, or consequential damages arising out of the Service or in connection with the Site or any other services or products provided to subscriber;
iModel.com, its officers, directors, owners, agents and employees, shall in no way be liable to subscriber or anyone else for any loss or injury resulting from use of the Service or the Site; in no event shall iModel.com be liable for any damages, whatsoever, as a result of the notifying of any official of potentially illegal content on the Site, providing copies of subscriber's said Site to the appropriate officials or cooperating with law enforcement efforts to locate persons who have posted content that is illegal or promotes illegal conduct;
In no event shall iModel.com be liable for any damages, whatsoever, as a result of the termination of this Agreement by iModel.com, their agents and/or suppliers.
Indemnity:
Subscriber agrees to indemnify and hold iModel.com harmless from and against, and to reimburse iModel.com with respect to, any and all losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees and costs of investigation) or every nature whatsoever incurred by iModel.com by reason of or arising out of or in connection with (i) any breach of this Agreement by subscriber; (ii) any infringement of any copyright, trade-mark, patent, trade secret or any other intellectual propriety right of any party by content on the Site; or (iv) illegal, libelous, or defamatory content on the
Site.
You agree to all above terms and conditions, and you agree to hold harmless iModel.com and Released Parties from any and all claims resulting from your access and use of this site and the products or services featured in it. By accessing iModel.com, you verify that you have read and understand all these terms and conditions without reservation.
Disclosure to Law Enforcement: The AUP specifically prohibits the use of our service for illegal activities. Therefore, Subscriber agrees that iModel.com may disclose any and all subscriber information including assigned domain address, account history, account use, etc. to any law enforcement agent who makes a written request without further consent or notification to the Subscriber. In addition iModel.com shall have the right to terminate all service set forth in this Agreement.
Service Rates: Subscriber acknowledges that the nature of the service furnished and the initial rates and charges have been communicated to Subscriber. Subscriber is aware that iModel.com may prospectively change the specified rates and charges from time to time. The promotional offer is contingent upon iModel.com achieving and maintaining its cost of service goals including but not limited to rates charged to iModel.com by its suppliers.
Subscriber acknowledges that the service provided is of such a nature that service can be interrupted for many reasons and that damages resulting from any interruption of service are difficult to ascertain. Therefore, subscriber agrees that iModel shall not be liable for any damages arising from such cause. Subscriber further acknowledges that iModel.com's liability for its own negligence may not in any event exceed an amount equivalent to charges payable by subscriber for services during the period damages occurred or a maximum of one month subscription fee: whichever is less. In no event shall iModel.com be liable for any special or consequential damages, loss or injury.
New Domain Accounts: All new accounts involving new domains will be set up and entered into our DNS servers within 3 to 5 business days. Due to unforeseen complications, however, this process may sometimes require up to 7 business days.
SPAM and Unsolicited Commercial Email (UCE): iModel.com takes a zero tolerance approach to the sending of Unsolicited Commercial Email (UCE) or SPAM over our network. Very simply this means that subscribers of iModel.com may not use or permit others to use our network to transact in UCE. subscribers of iModel.com may not host, or permit hosting of, sites or information that is advertised by UCE from other networks. Violations of this policy carry severe penalties, including termination of service.
Violation of iModel.com SPAM policy will result in severe penalties. Upon notification of an alleged violation of our SPAM policy, iModel.com will initiate an immediate investigation (within 48 hours of notification). During the investigation, iModel.com may restrict subscriber access to the network to prevent further violations. If a subscriber is found to be in violation of our SPAM policy, iModel.com may, at its sole discretion, restrict, suspend or terminate subscriber's account. Further, iModel.com reserves the right to pursue civil remedies for any costs associated with the investigation of a substantiated policy violation. iModel.com will notify law enforcement officials if the violation is believed to be a criminal offense.
Domain Name Ownership: If iModel.com purchases a Domain Name address for subscriber's use, the rights to said Domain Name shall belong only to iModel.com, and subscriber shall have the right to use that Domain Name address as permitted by iModel.com in its sole discretion in connection with the iModel.com's services, during the term of this Agreement. For the first year of paid service (12 subscription payments), iModel.com shall maintain and control ownership of all Domain Name addresses that may be assigned to a subscriber by iModel.com, and iModel.com reserves the right to change or remove any and all such Domain Name addresses, in its sole and absolute discretion. Upon receipt of the thirteenth (13) subscription fee, the ownership rights transfer to the subscriber, but iModel.com still reserves the right to change or remove any and all such Domain Name addresses hosted on its server, in its sole and absolute discretion.
Domain Name Transfer Fee $9.95:
In the event an iModel.com registered domain name is transfered away from iModel.com, there will be a $9.95 transfer fee due and payble prior any release authorization.
Bandwidth and Disk Usage: iModel.com maintains very large ratios of bandwidth and storage per subscriber. In rare cases, iModel.com may find a subscriber to be using server resources to such an extent that he or she may jeopardize server performance and resources for other subscribers. In such instances, iModel.com reserves the right to impose the High Resource Fee for the consideration of all subscribers. iModel.com will monitor subscriber's bandwidth and disk usage. iModel.com shall have the right to take corrective action if subscriber's bandwidth or disk usage negatively effects resources. Such corrective action may include the assessment of additional charges, disconnection or discontinuance of any and all Services, or termination of this Agreement, which actions may be taken is in iModel.com sole and absolute discretion. If iModel.com takes any corrective action under this section, subscriber shall not be entitled to a refund of any fees paid in advance prior to such action.
It is a violation to post any image(s) stored on iModel.com's server on any other websites, forums, newsgroups, etc., with the exception of the "Post Your Image" feature of the iDesigner.
System and Network Security: subscribers are prohibited from violating or attempting to violate the security of the iModel.com Network. Violations of system or network security may result in civil or criminal liability. iModel.com will investigate occurrences, which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting subscribers who are involved in such violations. These violations include, without limitation:
Accessing data not intended for such subscriber or logging into a server or account, which such subscriber is not authorized to access.
Attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization.
Attempting to interfere with service to any subscriber, host or network, including, without limitation, via means of overloading, "flooding", "mail bombing" or "crashing".
Forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.
Taking any action in order to obtain services to which such subscriber is not entitled.
Notification of Violation:
iModel.com is under no duty to look at each subscriber's or subscriber's activities to determine if a violation of the AUP has occurred, nor do we assume any responsibility through our AUP to monitor or police Internet-related activities.
First violation: Any subscriber, which iModel.com determines to have violated any element of this Acceptable Use Policy, shall receive an email, warning them of the violation. The service may be subject at iModel.com discretion to a temporary suspension pending a subscriber's agreement in writing, to refrain from any further violations.
Second Violation: subscribers that iModel.com determines to have committed a second violation of any element of this Acceptable Use Policy shall be subject to immediate suspension or termination of service without further notice.
Suspension of Service or Cancellation: iModel.com reserves the right to suspend network access to any subscriber if in the judgment of the iModel.com network administrators the subscriber's server is the source or target of the violation of any of the other terms of the AUP or for any other reason which iModel.com chooses. If inappropriate activity is detected, all accounts of the subscriber in question will be deactivated until an investigation is complete. Prior notification to the subscriber is not assured. In extreme cases, law enforcement will be contacted regarding the activity. The subscriber will not be credited for the time the subscriber's services were suspended.
iModel.com reserves the right to amend its policies at any time. All subscribers of iModel.com must adhere to the above policies. Failure to follow any term or condition will be grounds for immediate Cancellation.
GOVERNING LAW AND JURISDICTION
This agreement shall be governed by the laws of Latvia and the parties hereby submit to the non-exclusive jurisdiction of the Courts of Riga, Latvia.
THIS SYSTEM AND ALL INFORMATION, PRODUCTS, DOCUMENTS AND SERVICES ARE PROVIDED AS-IS AND AS-AVAILABLE WITHOUT WARRANTY OF ANY KIND. ALL WARRANTIES, INCLUDING MERCHANTABILITY, QUALITY, INTEGRATION, ACCURACY,
TITLE AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED. THIS IS A BUSINESS SYSTEM AND IS NOT FOR PERSONAL, HOUSEHOLD OR FAMILY USE.
ENTIRE AGREEMENT
Each of the parties agrees that save in respect of statements made fraudulently it shall have no remedy in respect of any untrue statement upon which it relied in entering this Agreement and that its only remedies shall be for breach of contract.
Indemnification: iModel.com wishes to emphasize that in agreeing to the iModel.com Acceptable Use Policy (AUP) and Terms of Service (ToS), subscriber indemnifies iModel.com for any violation of the Acceptable Use Policy (AUP) and Terms of Service (ToS) that results in loss to iModel.com or the bringing of any claim against iModel.com by any third-party. This means that if iModel.com is sued because of a subscriber's or a subscriber of a subscriber's activity, the subscriber will pay any damages awarded against iModel.com, plus all costs and fees.
Miscellaneous Provisions: You must provide iModel.com with, and keep current, good contact information for you.
A waiver by iModel.com of any breach of any provision of this Agreement by Subscriber shall not operate as or be construed as a continuing or subsequent waiver thereof or as a waiver of any breach
of any other provision thereof.
Subscriber shall not transfer or assign this Agreement without the prior written consent of iModel.com. iModel.com may assign Agreement at anytime without consent from or notice to Subscriber. iModel.com reserves right to cancel subscribers rights under this contract at anytime without further obligation.
iModel.com is not responsible for any damages your business may suffer. iModel.com does not make implied or written warranties for any of our services. iModel.com denies any warranty or merchantability for a specific purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by iModel.com.
It is absolutely forbidden to host pornographic content or IRC servers on Virtual Server Accounts. Virtual Server Accounts found hosting this material will be subject to immediate cancellation without refund.
Responsibility for Content: You, as iModel.com's subscriber, are solely responsible for the content stored on and served by your iModel.com subscription.
